Terms of Service

1. Purpose

These terms of service (the "Terms") govern use of the Parki service (the "Service"), published by Leo Virgo (the "Provider"). The Service is a Slack application that lets a company (the "Customer") manage the assignment and release of its named parking spots.

Installing the Parki application on a Slack workspace constitutes full and unreserved acceptance of these Terms by the Customer, through the Slack administrator who performs the installation.

2. Description of the Service

The Service lets the members of a Slack workspace:

  • declare their named parking spots and the spot owners;
  • release a spot for a given day when its owner is away;
  • reserve a released spot within a rolling four-day window (D+0 to D+3);
  • manage recurring weekly absences.

The Service is accessible exclusively from Slack. No web interface is made available to the Customer at this stage.

3. Registration and access

Access to the Service requires prior installation of the Parki application from the Slack Marketplace, or by direct invitation from the Provider. User authentication is fully delegated to Slack: the Provider manages no password and no browser session.

4. Pricing and billing

The Service is billed monthly, in euros, by card payment through the payment provider Stripe. The price is nineteen euros (19 €) excluding tax per month for up to five (5) owned parking spots included, then two euros (2 €) excluding tax per month for each additional owned spot.

The billable count is the number of parking spots that have an assigned owner, not the number of Slack users. Team members who do not own a spot use the Service at no charge. The count is computed automatically and floored at five spots minimum.

Payments are taken monthly, on the anniversary day of the subscription. The Customer can view invoices and update payment methods at any time from the Stripe customer portal, reachable through the /parki billing command.

Any amount due and unpaid within fifteen (15) days of the due date may lead to suspension of the Service without notice. Termination for non-payment gives no right to a refund.

5. Free trial and termination

The Customer gets a free trial period before any charge. Once the trial ends, the paid subscription starts and renews automatically each month until the Customer cancels. The Customer may cancel at any time through the Stripe customer portal. Termination takes effect at the end of the current monthly period. No pro rata refund is due.

6. Customer obligations

The Customer agrees to:

  • use the Service only for its internal company parking management;
  • not attempt to access data belonging to other customers of the Provider;
  • inform its own end users of the use of the Service, in line with its data protection obligations (see the privacy policy);
  • pay the amounts due on the agreed dates.

7. Provider obligations

The Provider agrees to:

  • use reasonable means to keep the Service available, with no guarantee of absolute continuity;
  • protect the Customer's data in line with its privacy policy;
  • inform the Customer of any material change to these Terms at least thirty (30) days before it takes effect.

8. Availability and maintenance

The Provider gives no quantified availability commitment (SLA) at this stage of the Service. The Service relies on third-party infrastructure (Slack, Supabase, Inngest, Stripe) whose outages may affect Parki without the Provider being liable on that basis alone.

9. Intellectual property

The Service, its source code, its brand, and its content are the exclusive property of the Provider. No rights are assigned to the Customer: the Customer gets a personal, non-exclusive, non-transferable right to use the Service for the term of its subscription.

The data entered by the Customer and its users (spot names, assignments, reservations) remains the property of the Customer. When the subscription ends, the Customer may request an export or deletion of its data within a reasonable time.

10. Feedback

When the Customer or its users send feedback, ideas, or suggestions about the Service (for example through the /parki feedback command), they grant the Provider a royalty-free, perpetual, irrevocable, and worldwide right to use that feedback to operate and improve the Service, with no obligation or compensation. Feedback is handled as described in the privacy policy.

11. Personal data

The processing of personal data is governed by the privacy policy available at /privacy, which forms an integral part of these Terms.

12. Warranties

The Service is provided "as is" and "as available", without warranty of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by applicable French law. The Provider does not warrant that the Service will be uninterrupted or error-free.

13. Limitation of liability

The Provider is not liable for indirect damages suffered by the Customer through use of the Service, in particular lost revenue, lost business, or reputational harm. The Provider's total liability, on any basis, is in any event capped at the amounts actually paid by the Customer over the twelve (12) months before the event giving rise to the claim.

14. Force majeure

Except for payment obligations, neither party is liable for any delay or failure to perform caused by an event beyond its reasonable control, including natural disasters, pandemics, civil disturbances, strikes, or the failure or interruption of telecommunications, power, or third-party services on which the Service relies.

15. Customer reference and logo

Unless the Customer objects in writing, the Provider may name the Customer and display its name or logo as a reference on the getparki.com site and in its marketing materials. The Provider removes the reference promptly on written request.

16. Changes to the Terms

The Provider may change these Terms at any time. Any material change will be notified to the Customer at least thirty (30) days before it takes effect, through a message in the Slack application or by email to the administrator who installed the application. Continued use of the Service after the new version takes effect constitutes acceptance.

17. Governing law and jurisdiction

These Terms are governed by French law. Any dispute relating to their formation, interpretation, or performance falls, absent a prior amicable settlement, within the exclusive jurisdiction of the courts of the appeal court district of the Provider's registered office.
